1. Agreement to These Terms

These Terms form a legally binding agreement between you and Finly governing your access to and use of the App and related services. By using the App, you acknowledge that you have read and understood these Terms and agree to be bound by them, together with our Privacy Policy.

2. Eligibility

You must be at least 18 years old and capable of entering into a binding contract to use the App. By using Finly, you represent and warrant that you meet these requirements and that the information you provide is accurate and complete.

3. Your Account

To use the App, you must create an account using your email and a password, or by signing in with Google or Apple. You are responsible for:

• Keeping your account credentials confidential
• All activity that occurs under your account
• Notifying us promptly at support@finlyai.app if you suspect any unauthorized access

Keeping your information accurate and up to date is your responsibility.

4. License to Use the App

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the App on a device you own or control, for your personal, non-commercial use.

You agree not to:

• Copy, modify, or create derivative works of the App
• Reverse engineer, decompile, or disassemble the App
• Rent, lease, sell, or sublicense the App
• Remove or alter any copyright, trademark, or proprietary notices
• Attempt to gain unauthorized access to our systems or networks

5. Your Financial Data

Finly does not connect to your bank or any financial institution. All financial information in the App — transactions, accounts, cards, loans, investments, budgets, and goals — is information that you enter yourself, either manually or through the AI assistant.

You are solely responsible for the accuracy and completeness of the information you enter. We are not responsible for any errors, omissions, or decisions made based on the data you record.

You retain all rights to the data you enter. You grant us a limited license to store and process that data solely to operate and provide the App to you, as described in our Privacy Policy.

6. AI Features

The App includes an AI assistant that can record transactions from natural language, categorize spending, and answer questions about your finances. These features are powered by third-party AI providers, and your requests are processed as described in our Privacy Policy.

You acknowledge and agree that:

• AI-generated insights and categorizations may not always be accurate and may need review or correction
• AI output is provided for informational purposes only and is not financial, investment, tax, or legal advice
• You should verify important information and consult a qualified professional before making financial decisions

7. Subscriptions and Payments

Finly offers free features as well as premium features available through a paid subscription. Subscriptions are sold and billed through the app store you download from (Google Play or the Apple App Store). We do not receive or store your payment card details.

• Subscriptions renew automatically unless cancelled before the renewal date
• Billing, renewals, and any free trials are managed through your app store account, subject to its terms
• Prices may change, with notice as required by law
• Except where required by law or by the app store's policies, fees are non-refundable

You can cancel at any time through your app store account settings. Cancellation takes effect at the end of the current billing period.

8. Acceptable Use

You agree not to use the App to:

• Violate any applicable law or regulation
• Infringe the intellectual property or rights of others
• Transmit malware or any malicious code
• Engage in fraud or any unlawful activity
• Interfere with, disrupt, or place undue load on our systems
• Scrape, data-mine, or attempt to extract data from the App by automated means
• Impersonate any person or provide false information

9. Intellectual Property

The App and all of its content, features, and functionality — including text, graphics, logos, and software — are owned by Finly or its licensors and are protected by intellectual property laws. These Terms do not grant you any right to use our name, logo, or trademarks without our prior written permission.

If you send us feedback or suggestions, you grant us the right to use them without restriction or obligation to you.

10. Disclaimer of Warranties

The App is provided “as is” and “as available” without warranties of any kind, whether express or implied.

To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, secure, error-free, or that any information it provides is accurate or reliable. You use the App at your own risk.

11. Limitation of Liability

To the maximum extent permitted by law, Finly shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

This includes, without limitation, damages for loss of profits, data, or goodwill, financial losses, missed opportunities, or business interruption, arising from or related to your use of the App.

Our total liability for all claims arising out of or relating to the App shall not exceed the greater of (a) the amount you paid us in the twelve (12) months before the claim, or (b) ₹1,000.

12. Indemnification

You agree to indemnify and hold harmless Finly and its directors, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use or misuse of the App, your violation of these Terms, or your violation of any rights of another party.

13. Termination

You may stop using the App and delete your account at any time. We may suspend or terminate your access if you violate these Terms or engage in fraudulent, abusive, or illegal activity. When your account is deleted, your data is permanently removed as described in our Privacy Policy. Provisions that by their nature should survive termination — such as intellectual property, disclaimers, and limitation of liability — will continue to apply.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. Subject to applicable law, the courts at Guntur, Andhra Pradesh, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the App.

Before initiating any formal proceedings, we encourage you to contact us at support@finlyai.app so we can try to resolve the matter informally.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you in the App. Your continued use of Finly after an update means you accept the revised Terms. If you do not agree, you must stop using the App and may delete your account.
